Terms of Service for aigent.run Terminal Last Updated: Aug 27, 2025 Welcome to aigent.run Terminal, a product developed by Gen3 Labs Pte Ltd (including all affiliates, “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our private AI agent trading terminal, website, applications, and features (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services. 1. Binding Arbitration and Class Action Waiver WHEN YOU AGREE TO THESE TERMS, YOU ARE AGREEING (WITH LIMITED EXCEPTION) TO RESOLVE ANY DISPUTE THROUGH BINDING ARBITRATION RATHER THAN IN COURT AND TO A CLASS ACTION WAIVER. PLEASE SEE SECTIONS 15 AND 16. If your jurisdiction prohibits arbitration, this section does not apply. 2. Who We Are aigent.run Terminal is an AI-powered trading platform that allows you to manage digital wallets and execute blockchain transactions—such as trading and transferring digital assets—on your own behalf. We provide an AI-integrated interface for interacting with supported blockchains. We are a non-custodial service: we do not store, manage, or access your private keys. Our encrypted wallet system is entirely client-side. Your private key never leaves your device and is only accessible via your PIN. 3. Acceptance of Terms By using our Services, you represent that: You have read, understood, and agreed to these Terms. You are at least 18 years old and legally capable of entering into contracts. If using on behalf of an organization, you are authorized to bind that organization. You will provide accurate information and safeguard your account credentials. 4. Additional Terms Certain features (e.g., agent-assisted trading, incentive programs) may carry additional terms. Those terms will be incorporated by reference and presented before use. 5. Using Our Services The Terminal provides tools to manage a digital wallet, trade, and transfer digital assets. AI-Powered Interface: Our generative AI may interpret your commands and execute transactions. AI is an evolving technology, and outputs may be incomplete, incorrect, or misleading. Financial Risk: Blockchain transactions are volatile, irreversible, and carry the risk of complete loss. Do not use funds you cannot afford to lose. Your Responsibility: You acknowledge full responsibility for all transactions initiated using the Services. 5.1 Non-Custodial Nature We do not access, hold, or manage private keys. Wallets are encrypted locally on your device with your PIN. You are solely responsible for keeping your PIN and wallet secure. We cannot recover lost keys or reverse transactions. 5.2 Transactions All trades and transfers are executed directly from your wallet to the blockchain. Transactions are final once broadcast and cannot be reversed. You are responsible for verifying transaction details before submission. 5.3 No Professional Advice All outputs are informational only and not professional financial, investment, or legal advice. 5.4 No Fiduciary Duties We do not owe you fiduciary duties; our only obligations are expressly stated in these Terms. 5.5 Release We are not a party to blockchain transactions. Disputes are solely between you and your counterparty. 6. Third-Party Services Our Services may interact with blockchains, decentralized exchanges, and other third-party protocols. Your use of such services is subject to their own terms, and we disclaim responsibility for issues arising from them. 7. Fees and Payment 7.1 Fees At present, aigent.run does not charge any platform service fees for transactions conducted through the Terminal. You are still responsible for any applicable network or blockchain transaction fees (e.g., gas fees, dApp fees). We reserve the right to introduce platform fees in the future. If fees are added, they will be clearly disclosed before taking effect, and your continued use of the Services after such notice constitutes acceptance of the updated fee structure. 7.2 Payment Processing If, in the future, you purchase services or features that require payment, you agree to provide complete and accurate payment information and authorize us to process those payments. 7.3 Taxes You are solely responsible for any taxes or duties applicable to your transactions or use of the Services. 8. User Responsibilities You agree not to: Engage in unlawful or fraudulent activity. Misuse AI outputs or attempt to bypass security. Provide false, misleading, or infringing content. 9. Export Control & Sanctions You may not use the Services if prohibited under sanctions or export control laws. 10. Intellectual Property All rights in the Services belong to us or our licensors. You are granted a limited, revocable license for personal, non-commercial use. 11. Disclaimer of Warranties The Services are provided “as is” and “as available.” We make no guarantees of uninterrupted access, accuracy, or suitability. 12. Limitation of Liability Our liability is limited to the greater of (a) $100 or (b) fees you paid in the 12 months prior to a claim. We are not liable for indirect or consequential damages. 13. Indemnification You agree to indemnify and hold us harmless from claims arising from your use of the Services or breach of these Terms. 14. Termination We may suspend or terminate access at our discretion, including for legal or compliance reasons. You may stop using the Services at any time. 15. Dispute Resolution Disputes (except small claims or IP injunctions) will be resolved by binding arbitration, seated in New York. 16. Governing Law These Terms are governed by Singapore law, without regard to conflicts of law. 17. Changes to These Terms We may update these Terms at any time by posting revisions. Continued use means acceptance of updates. 18. Severability If any provision is invalid, the remainder will continue in full force. 19. Entire Agreement These Terms are the complete agreement regarding your use of the Terminal. 20.
